Venture Capital Debt Senior Attorney

 Direct Counsel is seeking a Venture Capital Debt Senior Attorney to join a leading law firm’s Venture Capital Debt practice within its broader Debt Finance Group. The ideal candidate will have significant experience representing borrowers and their investors in venture debt, growth capital, and similar financing transactions involving early- and late-stage companies.

Responsibilities:

• Represent borrowers and their investors in venture debt, growth capital, and other financing transactions.
• Advise early- and late-stage companies and their investors on sophisticated financing structures and related legal matters.
• Draft, review, and negotiate loan agreements and related financing documentation.
• Advise clients on transaction structures, financing terms, and execution considerations.
• Support transactions from initial structuring and documentation through closing and deal execution.
• Work closely with M&A, corporate, and finance attorneys across Emerging Companies, Life Sciences, M&A, and Venture Capital practices.
• Collaborate with multidisciplinary deal teams to provide comprehensive advice to clients.
• Contribute to internal forms initiatives, including preparing and maintaining forms and precedent documents.
• Leverage AI-driven models and other technology to support the review and markup of term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables.
• Help develop efficient processes and resources for managing recurring venture debt and financing matters.
• Manage multiple transactions and deadlines while maintaining a high level of attention to detail and client service.

Qualifications:

• Significant law firm experience handling venture debt, growth capital, debt finance, or similar financing transactions.
• Substantive experience representing borrowers and/or their investors in venture debt transactions.
• Experience with financing transactions involving early- and late-stage companies.
• Strong drafting and negotiation skills, particularly with loan and related financing documents.
• Experience advising clients on financing structures and transaction execution.
• Strong understanding of credit agreements, collateral documentation, certificates, and customary financing deliverables.
• Demonstrated ability to work effectively with attorneys across corporate, M&A, finance, emerging companies, life sciences, and venture capital practices.
• Strong interest in leveraging technology and AI-driven tools to improve transactional processes and document review.
• Outstanding academic credentials and comparable law firm experience.
• Excellent written and verbal communication skills.
• Strong organizational skills, attention to detail, and ability to manage multiple matters.
• Bar admission or eligibility to obtain admission promptly in the resident office’s location.

Location: New York, NY

Compensation: $250,000-$350,000 annually, commensurate with relevant experience, plus potential bonus and comprehensive benefits.
