Direct Counsel is representing an AmLaw 100 firm seeking a 3rd–5th year Associate to join its Technology Transactions & Licensing Practice. This is an excellent opportunity to work with innovative startups, growth-stage companies, and established global enterprises on sophisticated technology transactions and product launches.
About the RoleThe ideal candidate will have experience advising clients on commercial and licensing agreements, intellectual property, and product counseling, particularly involving cloud computing, software, AI/ML, semiconductors, IT procurement, supply chain, and cybersecurity.
Responsibilities- Draft and negotiate commercial, technology, and licensing agreements
- Advise clients on IP, technology, and product-related matters
- Support transactions involving software, hardware, cloud computing, AI/ML, and digital assets
- Counsel clients on data privacy, security, and open-source licensing
- Advise on technology procurement, supply chain, semiconductor, and IT matters
- Support international licensing and cross-border transactions
- Assist with IP matters related to M&A, financing transactions, and post-closing integration
- Work directly with startups, emerging companies, and established technology companies
- Manage multiple client matters in a fast-paced environment
- 3–5 years of relevant experience at a law firm or in-house legal department
- Strong knowledge of IP and commercial contract law
- Experience with software, hardware, cloud computing, or digital assets
- Familiarity with CCPA, GDPR, and open-source licensing frameworks
- Excellent drafting, negotiation, communication, and analytical skills
- Ability to manage multiple priorities and client demands
- Entrepreneurial, collaborative, and team-oriented approach
- J.D. from an accredited law school and active bar membership in good standing
- Technical background in Computer Science, Electrical Engineering, Bioengineering, or related field
- Experience with AI/ML, semiconductors, cloud computing, cybersecurity, or hardware
- International licensing and cross-border transaction experience
- Exposure to IP matters involving M&A, financing, and post-closing integration
$235,000–$365,000 annually, depending on experience and other factors.
