Technology Transactions Associate Attorney

Direct Counsel is seeking a Technology Transactions Associate Attorney with 3–6 years of experience to join a leading global law firm and its highly regarded Technology Transactions practice in San Francisco. This is an excellent opportunity for an experienced technology transactions attorney to advise innovative companies and industry leaders on sophisticated intellectual property and technology matters across rapidly evolving industries.

Position Overview

The ideal candidate will have a strong understanding of intellectual property law and substantial experience drafting and negotiating a broad range of technology transactions. The attorney will work with clients across cutting-edge industries, including artificial intelligence, robotics, fintech, semiconductors, software, cloud technologies, and other emerging technologies.

Responsibilities

• Draft and negotiate software, technology, and content license agreements.

• Handle software and technology development agreements and professional services agreements.

• Draft and negotiate manufacturing, collaboration, supply, and distribution agreements.

• Advise clients on e-commerce, media, and entertainment transactions.

• Assist with M&A and equity financing transactions, including drafting transaction agreements and conducting contract and intellectual property due diligence.

• Advise clients on intellectual property and technology-related legal and commercial issues.

• Work closely with clients and multidisciplinary teams to structure and negotiate sophisticated technology transactions.

• Clearly communicate complex legal and business matters to clients and colleagues in both written and oral form.

• Take increasing ownership of matters and contribute to the development of client relationships.

Qualifications

• 3–6 years of technology transactions experience at a leading law firm.

• Strong knowledge of intellectual property law.

• Substantial drafting and negotiation experience across a broad range of technology transactions.

• Experience with software, technology, and content licensing; development agreements; and professional services agreements.

• Experience with manufacturing, collaboration, supply, and distribution agreements.

• Experience with e-commerce, media, and entertainment transactions preferred.

• Experience supporting M&A and equity financing transactions, including contract and IP due diligence.

• Excellent written and oral communication skills, with the ability to explain complex matters clearly and concisely.

• Strong work ethic and leadership skills.

• California Bar admission preferred; admission to another state bar may be considered.

Compensation

The anticipated salary range for this position is $260,000–$365,000 annually, depending on class year, experience, qualifications, and other relevant factors. Additional compensation may include a discretionary bonus and comprehensive benefits.
