Direct Counsel represents an Amlaw 100 firm seeking a highly qualified Senior Corporate Associate to join its Mergers & Acquisitions / Private Equity Practice in the Los Angeles office. This is an excellent opportunity to work on sophisticated, high-value transactions alongside a market-leading team advising global businesses and investors.
Key Responsibilities:

Advise clients on complex M&A and private equity transactions, including acquisitions, dispositions, joint ventures, and other strategic deals.

Draft, review, and negotiate purchase agreements, shareholder agreements, joint venture agreements, and ancillary contracts.

Lead due diligence processes and provide analysis on corporate structures and risk assessment.

Work closely with partners and senior leadership on deal strategy and execution.

Develop and maintain strong client relationships, with opportunities for increased leadership and responsibility.
Qualifications:

Minimum of 5 years of experience in mergers & acquisitions and/or private equity.

Strong drafting, negotiation, and communication skills.

Excellent academic credentials.

Ability to manage multiple complex transactions simultaneously in a fast-paced environment.

Admission to the California Bar, or eligibility to practice in California.
