What are the responsibilities and job description for the Corporate M&A (Junior - Mid Level)- Minneapolis position at Direct Counsel?

Direct Counsel represents an AmLaw 100 firm seeking a Corporate Associate (1–4 years) to join its dynamic and growing Minneapolis team. The group handles a wide range of corporate matters, supported by a strong local presence and a national/global platform.

Key Responsibilities

Support mergers and acquisitions, commercial contract drafting, and general corporate matters.
Draft and negotiate M&A transaction documents and other key agreements.
Conduct legal research and provide high-quality written work product.
Collaborate with attorneys across teams and proactively manage assignments.
Technology transactions experience is preferred.
Must be admitted, or eligible for admission, to the Minnesota Bar.

Ideal Candidate

Strong academic credentials and excellent drafting skills.
Mergers and Acquisitions experience
Detail-oriented, diligent, proactive, and able to work seamlessly in a team.
Personable, professional, and comfortable communicating with clients.
Technology transactions are preferred

Compensation

Expected annual salary: $205,000–$260,000
Actual compensation will depend on experience, location, and other job-related factors.
Full-time employees may also be eligible for bonuses and a comprehensive benefits package, including health, dental, vision, disability insurance, FSAs, 401(k), PTO, and employee assistance programs.
