Corporate Associate Attorney – Public Company & Capital Markets (5 Years)
Locations: Palo Alto, CA or San Francisco, CA
Compensation: $365,000–$435,000 Bonus
Direct Counsel represents an AmLaw firm seeking a Corporate Associate Attorney with significant public company and capital markets experience to join its Corporate & Securities practice. The ideal candidate will advise public companies on SEC compliance, governance matters, disclosure obligations, and complex capital markets transactions.
Responsibilities
- Advise public companies on SEC reporting, compliance, and governance matters
- Counsel clients on disclosure requirements and Nasdaq/NYSE compliance
- Support capital markets transactions, including:
- IPOs
- Equity and debt offerings
- Private investments in public entities (PIPEs)
- At-the-market (ATM) offerings
- Represent issuers and/or investment banks in securities transactions
- Provide day-to-day corporate counseling to public company clients
Qualifications
- J.D. with strong academic credentials
- 5 years of public company and capital markets experience
- Extensive experience with:
- SEC compliance and reporting
- Corporate governance matters
- Public company disclosure requirements
- Stock exchange compliance (Nasdaq/NYSE)
- Capital markets transactions
- Technology and/or life sciences industry experience preferred
- Strong analytical, drafting, communication, and client management skills
