National Security - Government Contracts Associate - D.C.

Direct Counsel represents an AmLaw 100 firm seeking a Government Contracts & Grants Associate with 3–5 years of experience to join its cutting-edge National Security practice in Washington, DC.

The ideal candidate will have experience advising clients on government contracts and grants, compliance, administration, and negotiations, as well as supporting M&A and financing transactions involving government contracts.

Responsibilities

• Advise clients on government contracts and grants, including terms, compliance, and administration.
• Negotiate prime and subcontracts, teaming agreements, and related arrangements.
• Advise on Other Transaction Agreements (OTAs), SBA/SBIR rules, GSA/FSS programs, and financial assistance agreements.
• Support M&A and financing transactions involving government contracts, including due diligence and novations.
• Advise deal teams, clients, and investors on government contracts and grants issues.
• Collaborate with attorneys handling foreign investment, export controls, sanctions, FCC, FAA, and related national security matters.

Qualifications

• 3–5 years of government contracts and grants experience.
• Required experience with OTAs, SBA/SBIR rules, GSA/FSS programs, and financial assistance agreements.
• Experience with M&A and financing transactions involving government contracts is preferred.
• In-house experience highly desirable.
• Experience with foreign investment, export controls, sanctions, FCC, or FAA matters is a plus.
• Strong academic credentials.
• Excellent written, verbal, and interpersonal communication skills.
• Ability to work effectively in a collaborative, team-oriented environment.
• J.D. from an accredited law school and active bar admission in good standing.

Washington, DC

Compensation

$260,000–$365,000, based on year classification.

Discretionary merit bonuses may also be available. Compensation may vary based on experience, qualifications, geographic location, and other factors.
