A leading Am Law firm is seeking a mid-level Corporate & Private Equity Associate Attorney with 3–6 years of mergers and acquisitions experience to support its nationally recognized Corporate and Private Equity practice. The ideal candidate will have experience with private equity-led M&A transactions or acquisitions for private equity funds.
The Corporate and Private Equity practice handles a broad range of sophisticated private equity transactions, including:
Leveraged buyouts
Independent sponsor transactions
Roll-ups
Minority and junior capital investments
Going-private transactions
Acquisitions of distressed and troubled companies
Private equity, growth equity, venture capital, mezzanine, and real estate fund formations
Representation of emerging managers, general partners, and limited partners
The Associate Attorney will have the opportunity to work on sophisticated, complex transactions within a large national private equity platform. Candidates should be capable of taking M&A transactions from inception through closing, including drafting and negotiating complex transactional documents and working directly with clients and colleagues.
Qualifications3–6 years of experience in mergers and acquisitions
Experience with private equity-led M&A transactions or acquisitions for private equity funds preferred
Ability to lead M&A transactions from start to finish
Experience drafting and negotiating complex transactional documents
Strong academic record
Excellent legal writing and oral communication skills
Ability to work independently with clients and colleagues
Strong interpersonal and organizational skills
Pennsylvania Bar admission required
Willingness to leverage innovative technology platforms, including AI tools, to enhance legal research, drafting, and analytical work
