What are the responsibilities and job description for the Leveraged Finance Of Counsel position at Direct Counsel?
This position is ideal for a seasoned finance attorney with a minimum of 9 years of experience in leveraged finance, private credit, fund finance, debt capital markets, and/or structured finance. Key Responsibilities:

Structure, lead, and execute a variety of financing transactions, including first lien, unitranche, stretch senior, second lien, and subordinated loan deals.

Provide counsel on asset-based lending (ABL), subscription facilities, and net asset value (NAV) facilities.

Represent both lenders and borrowers in connection with cross-border and domestic financings.

Draft and negotiate credit agreements, intercreditor agreements, security documents, and other related financing instruments.

Collaborate with partners and associates across multiple practice areas including tax, regulatory, fund formation, and restructuring.

Serve as a resource and mentor to junior attorneys on the team.
Preferred Experience:

Significant experience representing private credit providers, direct lenders, and institutional investors.

Exposure to structured equity investments, including preferred stock financings and co-investments, is a strong plus.

Previous experience at an Am Law 100 firm or similarly sophisticated legal environment.

Deep familiarity with market trends and expectations in the private credit and leveraged lending space.
Qualifications:

J.D. from a top-tier, ABA-accredited law school.

At least 9 years of relevant finance experience.

Admitted to practice in New York.

Demonstrated ability to lead transactions and manage client relationships independently.

Annual base salary range: $475,000 – $550,000, commensurate with experience and qualifications.
