Direct Counsel is seeking a Corporate Associate Attorney to join a prestigious Am Law firm in San Francisco, CA.
This is an outstanding opportunity for an attorney with 1-2 years of general corporate experience to join a nationally recognized corporate practice. The successful candidate will advise emerging growth companies and other public and private businesses on a broad range of corporate transactions, including venture financings, mergers and acquisitions, and general corporate matters.
Responsibilities

Represent public and private companies in a variety of general corporate matters.

Advise emerging growth and high-growth companies throughout all stages of their business lifecycle.

Assist with venture capital and other financing transactions.

Support mergers, acquisitions, and other strategic corporate transactions.

Draft, review, and negotiate transaction documents and corporate governance materials.

Conduct legal due diligence and manage key aspects of transactions from inception through closing.

Collaborate with clients and attorneys on sophisticated corporate matters.
Qualifications

J.D. from an ABA-accredited law school.

Active membership in a U.S. state bar.

1-2 years of general corporate law experience.

Experience representing public and private companies.

Experience with venture financings, mergers and acquisitions, and general corporate matters.

Experience at a national or international law firm is strongly preferred.

Strong academic credentials and excellent drafting, analytical, negotiation, and communication skills.
Compensation & Benefits

Salary: $225,000-$235,000, commensurate with experience and qualifications.
