Attorneys in this practice handle complex technology transactions involving software licensing, product development, intellectual property commercialization, strategic collaborations, manufacturing arrangements, and mergers and acquisitions. Associates receive significant client responsibility, direct exposure to sophisticated commercial matters, and opportunities to work alongside nationally recognized attorneys in a collaborative and entrepreneurial environment.

Duties
• Draft, review, and negotiate sophisticated software licensing agreements.
• Prepare and negotiate technology licensing, SaaS, cloud services, and content licensing agreements.
• Structure and negotiate software development and technology development agreements.
• Draft manufacturing, distribution, reseller, collaboration, and professional services agreements.
• Support mergers, acquisitions, venture capital, and equity financing transactions involving intellectual property assets.
• Conduct intellectual property and commercial contract due diligence for corporate transactions.
• Advise clients regarding ownership, commercialization, licensing, and protection of intellectual property assets.
• Collaborate with corporate, intellectual property, and mergers and acquisitions teams on complex transactions.
• Analyze legal risks and provide practical business-oriented solutions.
• Manage multiple sophisticated technology transactions while maintaining exceptional client service.
• Build strong relationships with innovative technology companies and business clients.

Requirements
• 3–6 years of experience in technology transactions and intellectual property law.
• Significant experience drafting and negotiating commercial technology agreements.
• Experience supporting mergers and acquisitions and financing transactions involving intellectual property assets.
• Strong drafting, negotiation, analytical, and problem-solving skills.
• Excellent written and oral communication abilities.
• Ability to independently manage sophisticated transactional matters.
• Strong organizational and project management skills.
• California Bar membership preferred.
• Admission to another U.S. state bar will also be considered.
