Direct Counsel is seeking a General Corporate Associate to join an elite Am Law firm’s nationally recognized corporate practice in San Francisco.
This is an outstanding opportunity for a 1st–3rd year associate attorney to join a premier corporate team advising high-growth public and private companies across their full business lifecycle.
Position Overview
The ideal candidate will have experience handling a broad range of general corporate matters, with a strong foundation in representing emerging growth and established companies in strategic transactions and day-to-day corporate counseling.
This role offers exposure to a sophisticated client base, including innovative growth-stage and market-leading businesses, within one of the most highly regarded corporate platforms in the country.
Key Responsibilities
- Advise public and private company clients on a wide variety of general corporate matters
- Support venture financings, growth equity financings, and other strategic capital raises
- Assist with mergers, acquisitions, and other complex transactional matters
- Provide ongoing corporate governance and strategic business counseling
- Draft, review, and negotiate principal transaction documents
- Work closely with founders, executives, boards, and investors on critical growth initiatives
Qualifications
- 1–3 years of general corporate experience
- Experience representing high-growth companies strongly preferred
- Meaningful exposure to financings, M&A, and day-to-day corporate counseling
- Background in the corporate department of a national or international law firm
- Strong drafting, negotiation, and client-management skills
- Excellent academic credentials from a nationally recognized law school
- Ability to thrive in a fast-paced, team-oriented environment serving sophisticated clients
Compensation & Benefits
The expected annual compensation range for this position is $225,000 – $260,000, with final offers based on experience, skillset, and market factors.
