Direct Counsel is seeking an Executive Compensation & Employee Benefits Associate to join a premier Executive Compensation & Employee Benefits practice in Dallas. This is an outstanding opportunity for an attorney interested in sophisticated executive compensation, equity incentive, and employee benefits matters supporting both transactional and advisory work.
The ideal candidate will have experience advising on compensation and benefits issues arising in corporate transactions, as well as ongoing counseling regarding executive compensation, equity awards, and ERISA-related matters.
Responsibilities
- Advise clients on executive compensation and employee benefits matters
- Counsel public and private companies on:
- Executive compensation arrangements
- Equity incentive plans
- Employee benefit programs
- Deferred compensation matters
- Support mergers, acquisitions, private equity transactions, and other corporate transactions involving compensation and benefits issues
- Draft, review, and negotiate compensation and benefits-related agreements and documentation
- Advise on equity awards, incentive compensation programs, and executive employment arrangements
- Assist clients with ERISA compliance and employee benefits issues
- Conduct legal research and prepare analyses regarding compensation and benefits matters
- Collaborate with attorneys across corporate, private equity, tax, and employment practices
Qualifications
- J.D. from an accredited law school
- Law school class years 2020–2024
- Experience in executive compensation, employee benefits, ERISA, or related transactional practice areas
- Strong interest in:
- Executive compensation
- Equity incentive compensation
- Employee benefits and ERISA matters
- Excellent analytical, drafting, and problem-solving skills
- Strong oral and written communication abilities
- Ability to manage multiple sophisticated matters simultaneously
- Strong academic credentials
Compensation & Benefits
- Salary range: $235,000 – $390,000
- Compensation based on experience, qualifications, and other operational considerations
