Direct Counsel is seeking a Corporate M&A Associate or Counsel with 7 years of transactional experience to join a sophisticated Business practice. This is an exceptional opportunity for an experienced corporate attorney looking to lead complex mergers and acquisitions while advising clients on a broad range of strategic business transactions across multiple industries.
The ideal candidate will have significant experience independently managing sophisticated M&A transactions, private equity deals, joint ventures, and general corporate matters while serving as a trusted advisor to clients and mentoring junior attorneys.

Responsibilities
- Lead sophisticated mergers and acquisitions from initial structuring through closing.
- Draft, review, and negotiate:
- Purchase and sale agreements
- Ancillary transaction documents
- Commercial agreements
- LLC agreements
- Corporate governance documents
- Manage legal due diligence and coordinate transaction execution.
- Advise clients on:
- Mergers and acquisitions
- Private equity transactions
- Joint ventures
- Entity formation
- General corporate governance
- Coordinate with tax, real estate, finance, regulatory, and other specialists on multidisciplinary transactions.
- Manage client relationships and serve as the primary point of contact throughout complex engagements.
- Mentor junior attorneys and collaborate with colleagues across multiple practice areas and offices.
- Provide practical, business-focused legal advice to clients across a variety of industries.
Qualifications
- J.D. from an accredited law school with a strong academic record.
- Active admission to the Florida Bar.
- 7 years of corporate transactional experience.
- Significant experience leading complex mergers and acquisitions.
- Experience handling:
- Private equity transactions
- Joint ventures
- Entity formation
- Commercial contracts
- Strong drafting, negotiation, analytical, and client counseling skills.
- Ability to independently manage sophisticated transactions from inception through closing.
- Excellent project management and organizational abilities.
- Comfortable working with legal technology and modern transaction management tools.
Preferred Qualifications
- Experience with debt financing transactions.
- Experience representing clients in:

- Prior experience mentoring junior attorneys and leading transaction teams.
