Corporate Associate - M&A/Infrastructure

A highly respected national law firm is seeking a Corporate Attorney with strong M&A and infrastructure experience to join its New York office. Key Responsibilities

• Represent private and public companies, investors, and strategic buyers/sellers in M&A, joint ventures, project development, and investment transactions.

• Draft, review, and negotiate a wide range of transactional agreements, including purchase agreements, shareholder agreements, project development documents, and financing contracts.

• Support clients in infrastructure transactions involving energy transition projects, transportation assets, utilities, renewable energy, telecommunications, and other regulated or capital-intensive industries.

• Conduct and manage due diligence processes, risk assessments, and complex deal structuring.

• Collaborate cross-functionally with tax, regulatory, environmental, finance, and real estate teams to ensure seamless execution.

• Assist in managing client relationships and contributing to business development initiatives.

Qualifications

• J.D. from an accredited law school with excellent academic credentials.

• 4 years of corporate transactional experience, ideally in M&A and/or infrastructure-focused matters.

• Experience with energy, utilities, transportation, or large-scale project development transactions is highly preferred.

• Strong drafting, negotiation, communication, and client-management skills.

• Admission to the New York Bar or eligibility to become admitted.
