Direct Counsel is seeking a Corporate Associate to join a premier Capital Markets practice in Denver. This is an excellent opportunity for an attorney looking to work on sophisticated securities transactions and public company matters while developing strong client relationships and taking on meaningful responsibility early in their career.
The ideal candidate will have experience representing issuers and underwriters in securities offerings and advising public companies on SEC reporting and compliance obligations.
Responsibilities
- Represent issuers and underwriters in public and private securities offerings
- Advise public companies on:
- SEC reporting obligations
- Securities law compliance
- Corporate governance matters
- Public company disclosure requirements
- Assist with capital markets transactions, including equity and debt offerings
- Draft and review offering documents, registration statements, and SEC filings
- Conduct legal research and provide strategic advice on securities law matters
- Collaborate with attorneys across corporate, finance, and capital markets practices
- Develop and maintain client relationships through direct client interaction
- Manage transactional workstreams and coordinate deal execution
Qualifications
- J.D. from an accredited law school
- Law school class years 2022–2024
- Experience representing issuers and/or underwriters in securities offerings
- Experience advising clients on SEC reporting and compliance matters
- Strong understanding of federal securities laws and public company obligations
- Excellent drafting, analytical, and problem-solving skills
- Strong oral and written communication abilities
- Entrepreneurial mindset with strong client-service skills
- Ability to manage multiple matters and assume significant responsibility
- Strong academic credentials
Compensation & Benefits
- Salary range: $235,000 – $310,000
