Corporate Associate Attorney – M&A, Securities & General Corporate

Direct Counsel is seeking an experienced Corporate Associate Attorney to join the Omaha office of a nationally recognized law firm.

This is an excellent opportunity for a transactional attorney with at least two years of experience who is interested in expanding their practice in mergers and acquisitions (M&A), securities, and general corporate matters.

The successful candidate will work closely with experienced partners on sophisticated corporate transactions while gaining meaningful client exposure and opportunities to assume significant deal responsibility.

Key Responsibilities

• Represent clients in a broad range of corporate and transactional matters, including mergers and acquisitions, securities transactions, and general corporate matters.

• Assist with structuring, negotiating, and executing complex corporate transactions.

• Draft, review, and negotiate transactional documents, including purchase agreements, merger agreements, disclosure schedules, and other corporate agreements.

• Conduct and coordinate legal due diligence for mergers, acquisitions, and other business transactions.

• Prepare and review corporate governance documents, resolutions, and related materials.

• Advise clients on general corporate matters and assist with ongoing business and transactional needs.

• Coordinate transaction closings and manage deal-related documentation and deadlines.

• Collaborate with partners, associates, clients, and other transaction participants throughout the deal process.

• Communicate directly with clients regarding transaction developments, documentation, and closing requirements.

• Manage multiple transactions simultaneously while maintaining high standards of accuracy and client service.

• Participate in client development and relationship-building activities.

Qualifications

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school.

• Active Nebraska Bar membership in good standing, or eligibility to obtain admission within one year of hire.

• 2 years of relevant transactional legal experience.

• Strong analytical, problem-solving, and legal drafting skills.

• Ability to review, analyze, and prepare complex transactional documents accurately and efficiently.

• Excellent written and verbal communication skills.

• Strong organizational abilities and exceptional attention to detail.

• Ability to manage competing priorities and meet deadlines in a fast-paced transactional environment.

• Demonstrated professionalism when communicating with clients, supervising attorneys, and other transaction participants.

• Ability to work independently while contributing effectively to collaborative transaction teams.

• Strong work ethic, initiative, and commitment to exceptional client service.

Preferred Qualifications

• Experience in mergers and acquisitions, securities, or general corporate transactions.

• Experience conducting legal due diligence and preparing transaction documentation.

• Familiarity with corporate governance and business entity matters.

• Experience coordinating transaction closings and working with multidisciplinary deal teams.

• Demonstrated interest in developing client relationships and participating in business development activities.

Base Salary: $120,000–$180,000 annually, commensurate with experience, qualifications, and transactional background.

Work Arrangement: Hybrid schedule consisting of three days in the Omaha office and two days working remotely, subject to supervisor approval.
