Location: West Coast (Hybrid)
Direct Counsel represents an Am Law 100 firm seeking a Conflicts Counsel to support firmwide risk management and conflicts operations. This hybrid role is ideally based in a West Coast office and is well suited for a detail-oriented attorney with strong judgment, communication skills, and the ability to perform under pressure.
Key Responsibilities:

Review and clear legal conflicts related to new business intake

Serve as primary point of contact for Outside Counsel Guidelines (OCGs); collaborate with partners and administrative stakeholders to prepare client-aligned responses

Review and draft waiver and engagement letter language addressing conflicts, scope, and fee arrangements

Advise attorneys and NBI staff on conflicts of interest, ethical issues, and risk mitigation strategies

Monitor and interpret ABA Model Rules of Professional Conduct and applicable jurisdictional variations

Track rule changes and recommend updates to firm policies

Document conflict resolutions and obtain required waivers prior to matter opening

Review OCG deviations and coordinate approvals consistent with firm engagement policies

Determine and implement ethical walls as needed

Participate in professional ethics organizations and continuing education

Assist with special projects and other duties as assigned by firm leadership
Qualifications:

Active bar membership in good standing
-
Minimum 2 years of experience in conflicts clearance and/or outside counsel guideline review in a large law firm preferred (strong candidates without direct experience considered)

Excellent analytical, organizational, and communication skills

Ability to manage competing priorities in a high-pressure environment

Experience with InTapp Open and Terms preferred

Proficiency in Microsoft Word, Excel, PowerPoint, Adobe, and database management tools
Compensation & Benefits:

Salary range: $140,000 – $175,000, based on experience
