The Role
We are seeking a Corporate Transactional & Litigation Attorney who is comfortable working across both deal work and business disputes. This is a substantive, hands-on role. You will work directly with clients, manage matters with increasing independence, and contribute meaningfully to both transactional planning and dispute resolution strategies.
This position is well-suited for an attorney who does not want to be limited to one side of the practice and who values understanding how business decisions and legal risk intersect.
Key Responsibilities:
Corporate / Transactional Work
- Draft, review, and negotiate key business agreements, including operating agreements, shareholder agreements, and commercial contracts
- Advise clients on entity formation, governance, and risk mitigation strategies
- Support transactions including acquisitions, sales, and restructuring matters
- Help clients structure deals with an eye toward avoiding future disputes and protecting business value
Litigation Work
- Handle commercial litigation matters from inception through resolution
- Represent clients in disputes involving contracts, partnership/shareholder issues, and other business-related conflicts
- Draft pleadings, motions, and briefs with clarity and precision
- Manage discovery and contribute to litigation strategy
- Appear in court, at mediations, and at conferences as appropriate
- Evaluate risk, exposure, and resolution pathways, including negotiation, mediation, arbitration, and trial where necessary
General Responsibilities
