Associate Attorney - Real Estate Transactions

Position Overview
We are seeking a skilled Associate Attorney to join our real estate practice group to support acquisitions, financing transactions, and development projects. The Associate Attorney will work closely with partners and clients to structure and document deals, perform due diligence, coordinate closings, and provide practical legal advice that advances business objectives while managing risk. This role is ideal for a lawyer with transactional experience in real estate acquisitions, financings, and developments who is looking to take on increasing responsibility in a collaborative, fast-paced environment.

Key Responsibilities

  • Draft, review, and negotiate purchase and sale agreements, loan documents, guaranties, intercreditor agreements, and other transactional documents related to real estate acquisitions and financings.
  • Manage and conduct due diligence including title, survey, environmental, lease, and corporate reviews; identify and resolve issues that could affect deal timing or value.
  • Coordinate and lead closing logistics with clients, lenders, title companies, surveyors, and external counsel to ensure timely and accurate completions.
  • Advise clients on structuring transactions, risk allocation, zoning and land use considerations, entitlements, and regulatory compliance relevant to real estate development.
  • Prepare and review organizational documents, joint venture agreements, operating agreements, and related transactional structures for development projects and investment vehicles.
  • Collaborate with partners and other practice groups (tax, land use, environmental) to provide integrated legal solutions for complex transactions.
  • Conduct legal research and prepare clear, client-ready legal memoranda, summaries, and transaction checklists.
  • Support business development efforts by preparing pitch materials, participating in client calls, and cultivating client relationships.
  • Supervise and mentor junior associates, paralegals, and support staff as needed to deliver high-quality work on time.

Qualifications

  • Juris Doctor (JD) required; LLM in Real Estate, Tax, or related field preferred.
  • Active bar admission in the relevant state and in good standing (or ability to become admitted).
  • 2 years (mid-level) to 5 years (experienced) of transactional real estate practice experience, with demonstrated work on acquisitions, financing transactions, and development matters.
  • Proven experience drafting and negotiating purchase and sale agreements, loan agreements, mortgage/Deed documents, and joint venture/operating agreements.
  • Strong knowledge of title matters, survey review, environmental considerations, zoning/land use, and closing mechanics for real estate transactions.
  • Excellent written and oral communication skills, with the ability to explain complex legal issues in practical terms for business clients.
  • Demonstrated ability to manage multiple matters and deadlines, prioritize tasks, and work both independently and as part of a team.
  • Client-service orientation, solid judgment, attention to detail, and strong analytical skills.
  • Proficiency with legal research tools and familiarity with common document management and closing platforms.
  • Prior experience in a law firm or in-house real estate legal department preferred; client-facing and business development experience a plus.
