Constellation Search Group is looking for a Paralegal for a full-time position. This role involves supporting the Legal and Finance teams by managing commercial contracts and maintaining legal documentation. The Paralegal will focus on handling agreements including MSAs, TSAs, SOWs, BAAs, DPAs, and related amendments. They are tasked with ensuring contracts are organized, risks are identified, and obligations are clearly tracked.

Responsibilities:
- Manage the contract lifecycle including intake, review, execution, tracking, renewals, and record-keeping.
- Review and manage MSAs, TSAs, SOWs, BAAs, DPAs, and related agreements per company standards.
- Ensure consistency across agreements and summarize key contract terms such as renewals and liabilities.
- Identify and escalate non-standard terms or template deviations to counsel or leadership.
- Assist Sales and Finance with contract coordination, including redlines and version control.
- Partner with implementation and operations to highlight relevant contract terms.
- Maintain standard contract templates and support improvements to contract management processes.
- Assist with audit redlines and compliance requests.
- Manage vendor agreements, NDAs, insurance documentation, and ensure compliance with contractual insurance requirements.
- Support SOC 2, HIPAA, and other compliance documentation efforts.
- Maintain records related to data privacy and corporate obligations, and assist with corporate records and governance filings.
- Paralegal certificate or Bachelor's degree (or equivalent experience).
- 3-7 years of paralegal experience, preferably in a corporate, contracts, SaaS, healthcare, or technology setting.
- Experience in reviewing and managing commercial contracts.
- Exceptional organization and attention to detail.
- Strong written and verbal communication skills.
- Ability to collaborate with Finance, Sales, Operations, and external counsel.
- Experience with contract management systems preferred.
- Familiarity with SaaS agreements, HIPAA concepts, or data privacy terms is a plus.
- Experience supporting a legal team in a regulated industry is beneficial.
- Self-starter with strong process orientation and follow-through.

Salary : $65,000 - $85,000
