Senior Corporate Counsel
Overview
We are partnering with a privately held, high-growth specialty finance organization to identify a Senior Corporate Counsel to serve as its most senior in-house legal leader. This is a high-impact role for an experienced finance attorney who wants to help professionalize, scale, and future-proof a multi-entity platform operating across equipment finance and adjacent financial services.
Reporting directly to the CEO and working closely with executive leadership, this role blends strategic advisory responsibilities with hands-on execution across transactions, governance, and regulatory matters.

What You’ll Do
- Serve as the company’s lead internal counsel across multiple operating entities
- Advise executives and board members on corporate strategy, governance, and risk
- Draft, structure, and negotiate complex commercial agreements, credit documents, leases, and partnerships
- Support strategic initiatives including acquisitions, capital raises, warehouse lines, and securitizations
- Design and oversee compliance programs across commercial lending, UCC, collateral, licensing, privacy, and SaaS-related obligations
- Manage external counsel, regulators, auditors, and legal spend
- Improve deal velocity by creating standardized templates and legal processes
- Provide guidance on employment matters, executive compensation, incentive plans, and IP protection
- Support workouts, restructurings, and special assets in partnership with credit leadership
- Anticipate legal and regulatory issues before they become barriers to growth
What We’re Looking For
- 7 years of total legal experience, including significant time as lead or senior in-house counsel
- Background in commercial finance, private credit, banking, or financial services
- Experience supporting large balance sheet businesses or PE-backed / regulated environments
- Strong business judgment with the ability to balance risk and growth
- Comfortable operating at both executive-strategy and hands-on execution levels
- Trusted communicator with CEOs, boards, investors, and regulators
- Known for enabling solutions—not just identifying risk
