Position Overview
The Investment Banking Senior Associate will play a central role in executing middle‑market M&A and capital‑raising transactions, typically involving privately held, family‑owned, or private‑equity‑backed companies. This role requires a hands‑on approach to deal execution, close collaboration with senior bankers, and meaningful client interaction. Senior Associates are expected to take significant ownership of transaction processes while mentoring junior team members in a lean, high‑impact environment.
Key Responsibilities
Transaction Execution & Process Management
- Lead day‑to‑day execution of sell‑side and buy‑side M&A transactions, as well as equity and debt financings, primarily in the middle market
- Manage full transaction workflows, including diligence, valuation, buyer outreach, and bid evaluation
- Serve as a quarterback across deal teams, ensuring timelines, deliverables, and client expectations are met
- Coordinate closely with managing directors, vice presidents, analysts, legal counsel, and accounting advisors
Financial Analysis & Valuation
- Build and review detailed operating models and transaction analyses (DCF, precedent transactions, public comparables, LBO, accretion/dilution)
- Analyze historical and projected financials for private companies with varying reporting quality
- Support pricing, negotiation strategy, and deal structuring decisions
Client Interaction & Advisory
- Actively participate in client meetings and calls, often serving as a primary day‑to‑day contact
- Help prepare business owners, management teams, and sponsor clients for diligence and buyer meetings
- Translate complex financial and strategic concepts into clear, practical recommendations for clients
Leadership & Team Development
- Manage, mentor, and develop analysts and junior associates
- Review and refine work product to ensure accuracy, clarity, and professional presentation
- Promote a collaborative, execution‑focused culture consistent with middle‑market banking environments
Business Development Support
- Assist with pitch development and marketing materials for new mandates
- Contribute industry insights, transaction ideas, and buyer targeting analyses
- Support ongoing relationship management with private equity sponsors, corporate clients, and intermediaries
Qualifications
Required
- Bachelor’s degree in Finance, Accounting, Economics, or a related field
- 4–6 years of investment banking experience, preferably within a middle‑market platform
- Strong accounting knowledge and advanced financial modeling skills
- Experience executing sell‑side M&A transactions for private companies
- Excellent written and verbal communication skills
- High attention to detail with the ability to manage multiple live engagements
