Corporate Legal Assistant
Our client, a full-service law firm in Midtown Manhattan, is seeking an experienced Corporate Legal Assistant to support four attorneys within the Corporate Practice Group. The Legal Assistant will coordinate travel, manage calendars, and prepare, revise, redline, and proofread various corporate documents.
Responsibilities
- Prepare, revise, redline, and proofread various corporate documents, including contracts, agreements, transactional documents, compliance materials, closing documents, UCC filings, financing and lending documents, audit letters, and related materials.
- Assist with the assembly of pre-closing documents and executed signature sets, as well as corporate formation and dissolution documents, UCC financing statements, and amendments.
- Prepare shareholder and corporate minutes and maintain corporate record books for various entities.
- Maintain a working knowledge of filing procedures, requirements, and e-filing with Secretary of State offices, as well as federal, state, and local courts.
- Create and maintain client and administrative files in accordance with firm procedures, including within the document management system.
- Schedule appointments, including meeting invitations, video conference details, conference room reservations, and meal requests, and maintain attorneys’ calendars.
- Enter and release attorneys’ billable time in accordance with firm guidelines.
- Perform initial conflict checks, open and close client matters, and prepare engagement letters.
- Monitor case deadlines and work with the Docket Department to ensure deadlines are entered and met.
- Coordinate travel arrangements and track travel expenses for timely reimbursement.
Qualifications
- High school diploma required.
- 3 years of corporate legal experience required.
- Ability to handle multiple priorities simultaneously, work collaboratively, and communicate effectively.
- Comprehensive knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word) and PDF software.
- Experience with InTapp Time, Intapp Open, Chrome River Expense Reporting, Aderant, Interaction, and iManage is a plus.
Work Environment
- Hybrid schedule: three days in-office in Midtown Manhattan.
- May require overtime and occasional weekend hours.
Compensation
- Salary range: $90,000–$120,000 annually.
