Corporate Paralegal

Our client, a well-established firm, is seeking a detail-oriented Corporate Paralegal to join their team. In this role, you'll support attorneys and staff at every level across corporate formation, contract, and commercial real estate matters. This is a strong fit for a proactive professional who does well in a fast-paced environment, handles competing priorities with confidence, and takes pride in accurate, timely work.

Location: West Warwick, RI

Salary: $80-100K per year, based on experience

Direct Hire/Permanent Role

Responsibilities of the Corporate Paralegal:

• Draft organizational and incorporation documents, and complete filings with state agencies, including EINs, S-Elections, certified Articles of Incorporation, Certificates of Good Standing, and Tax Letters of Good Standing from the RI Division of Taxation.
• Draft and review contracts and leases, prepare, obtain, and review documents for commercial real estate purchases, sales, financing transactions, and asset purchases.
• Coordinate transactions from start to finish by requesting UCC, judgment, and lien searches, preparing closing binders, and completing post-closing work.
• Prepare and finalize corporate minute books, scan them into the file, and keep the corporate database accurate and current.
• Manage calendars and time-sensitive deadlines, draft correspondence, track billable hours, and handle proofreading, filing, mail, and other administrative duties.

Qualifications of the Corporate Paralegal:

• Corporate paralegal experience with entity formation, commercial real estate transactions, and state filings.
• Excellent organization and attention to detail, with the ability to manage multiple priorities and perform accurately under pressure.
• High standards of confidentiality and professionalism when working with clients, attorneys, and staff.
• A self-motivated, proactive approach, comfortable working independently and as part of a team.
• Proficiency in Microsoft Word, Excel, and Outlook, along with strong typing and telephone skills.
