Position Summary
We are seeking a highly skilled Tax Counsel to join our distinguished Tax Practice Group. This is an excellent opportunity for an experienced attorney to play a critical role in advising clients on complex transactional tax matters in a collaborative and dynamic environment.
Responsibilities
- Provide sophisticated tax advice on a wide range of transactional matters, including leveraged finance and capital markets transactions.
- Collaborate with clients, investment bankers, and other legal teams to structure transactions that maximize tax efficiencies while aligning with business objectives.
- Advise on taxable and tax-free mergers and acquisitions, debt and equity financings, corporate reorganizations, and other strategic transactions.
- Research and analyze complex tax issues, providing practical and innovative solutions to clients.
- Draft and review tax-related transaction documents, ensuring compliance with applicable laws and regulations.
- Represent clients in interactions with tax authorities, including requesting formal guidance from the IRS.
- Juris Doctor (JD) from a top-tier law school with a strong academic background.
- Admission to the New York Bar is required.
- Substantial experience in transactional tax work, with meaningful exposure to leveraged finance and capital markets transactions.
- Exceptional oral and written communication skills, with the ability to convey complex concepts clearly and effectively.
- Strong analytical and problem-solving skills, with meticulous attention to detail.
- Ability to manage multiple priorities and work effectively in a fast-paced environment.
- Demonstrated commitment to providing exceptional client service.
