Job Description
- Represent clients in a broad range of corporate and business transactions, including mergers and acquisitions, securities offerings, debt and equity financings, and general corporate matters.
- Advise emerging growth companies through all stages of formation, funding, governance, and strategic growth.
- Counsel private equity investors and portfolio companies on acquisitions, investments, and ongoing corporate matters.
- Lead transactional matters from inception through closing, including drafting, negotiating, and reviewing complex transaction documents.
- Provide strategic corporate counseling to clients on governance, commercial agreements, and day-to-day business matters.
- Collaborate closely with partners and fellow attorneys while serving as a trusted advisor to clients across a variety of industries.
- Mentor and support junior attorneys by providing guidance, feedback, and opportunities for professional development.
- Deliver practical, business-oriented legal solutions while maintaining the highest standards of client service and responsiveness.
Desired Qualifications
- J.D. from an accredited law school with strong academic credentials.
- Active license to practice law and be in good standing.
- 5–8 years of experience in a sophisticated corporate law practice.
- Significant experience handling mergers and acquisitions, securities offerings, debt and equity financings, and general corporate transactions.
- Experience representing emerging growth companies, private equity investors, and business entities throughout their lifecycle.
- Demonstrated ability to independently first-chair transactions, including leading negotiations and drafting principal transaction documents.
- Outstanding written and verbal communication skills with exceptional attention to detail.
- Strong analytical, organizational, and project management abilities.
- Ability to work both independently and collaboratively in a fast-paced, team-oriented environment.
