Key Responsibilities
- Draft and review offering documents including registration statements and prospectuses
- Prepare and file SEC reports including 10-K, 10-Q, 8-K, and proxy statements
- Manage due diligence processes across capital markets transactions
- Run deal execution from initial structuring through closing
- Advise clients on SEC compliance and corporate governance matters
- Coordinate with internal teams and external stakeholders across transactions
- 4–8 years of capital markets experience at a law firm
- Experience managing full deal cycles from start to finish
- Experience with SEC reporting and public offerings
- Experience representing issuers and/or underwriters
- JD from an accredited law school
- Licensed in New York or Massachusetts (or eligible upon hire)
- Exposure to cross-border capital markets transactions
- Direct involvement in IPOs and public offerings
