Job Summary
We are seeking a full-time corporate paralegal with 5-7 years’ recent experience in a law firm or corporate in-house setting. Experience with commercial real estate transactions preferred. The ideal candidate must be a team player, well organized, have a high level of attention to detail, strong oral and written communications skills, strong computer skills including Microsoft Word, Excel, Power Point, Outlook and be able to prioritize workflow for multiple attorneys.

Key Responsibilities
- Support multiple attorneys with day-to-day administrative and legal tasks
- Manage calendars, schedule meetings, and coordinate client appointments
- Filing of corporate/LLC or other entity documents (including SS-4/FEIN and other applicable IRS forms) on the State and Federal level and maintain firm internal filing
- Creating organizational documents, including articles of incorporation/organization or dissolution, stock certificates and merger agreements
- Assist attorneys with initial preparation of Operating Agreements/Shareholder Agreements/Buy-Sell Agreements/Bylaws
- Prepare annual reports and minutes for Corporations, LLCs, LP’s, and NFP (both domestic and foreign)
- Maintain and organize electronic and paper corporate books/files
Requirements
- 5-7 years of recent experience in business/corporate law
- Knowledge of various Secretary of States’ websites and IRS website
- Knowledge of commercial real estate closings and title company documents
- Strong proofreading and writing skills with high attention to detail
- Excellent organizational and time management skills
- Strong interpersonal and communication abilities
- Ability to prioritize tasks and manage deadlines in a dynamic environment
- Proficiency in Microsoft Office (Word, Outlook, Excel, Power Point)
