Position Summary:
Reporting to the Paralegal Manager, the Transactional Paralegal will work directly with Attorneys in the Corporate/Securities and Real Estate/Finance Practice Groups.
Key Responsibilities:
- Ability to convey information to individuals at all levels within the firm in a courteous and professional manner; strong service orientation.
- Preparing, revising and/or filing various documents, certificates, statements, amendments, annual reports and forms.
- Performing UCC, due diligence and other research and analyzing and summarizing results.
- Preparing and tracking closing checklists and transaction documentation from initiation of a transaction through completion of post-closing tasks, including closing binders.
- Reviewing due diligence materials.
- Obtain Certificates of Good Standing, copies of filed Articles and Amendments.
- Working with CT Corporation, Capitol Services and other registered agent entities and State Business Offices (normally the Secretary of State) to form, maintain and dissolve entities, file necessary paperwork, file/amend/terminate Uniform Commercial Code filings, and obtain certificates of good standing.
- Draft form documents related to entity formation and governance and other transactional documents.
- Preparation of corporate transaction exhibits; compare exhibits and identify discrepancies for follow-up
- Work directly with attorneys and clients to coordinate closings and transactions.
- Prioritize a high volume of time-sensitive projects, with the ability to multi-task, maintain attention to detail, and work well under pressure.
- Other duties as assigned.
Job Requirements:
- Bachelor's degree or Associates/bachelor’s degree in paralegal studies.
- Transactional experience.
- Knowledge and understanding of legal principles and practices.
- Knowledge of Microsoft Office Suite and Adobe Acrobat.
- Strong organizational, problem-solving and time management skills.
- Superior interpersonal skills to ensure effective communication across a diverse group of internal and external clients, attorneys and staff while maintaining high level of work quality and customer service.
- Team-oriented.
- Ability to handle confidential and sensitive information with appropriate discretion.
