You’ll work closely with seasoned partners on complex deals and restructuring mandates while
developing deep expertise across multiple practice areas — from secured lending and real
estate finance to bankruptcy and distressed asset management.
Key Responsibilities
● Transactional Expertise: Draft, review, and negotiate loan and financing documentation
for secured and unsecured credit facilities.
● Restructuring & Bankruptcy: Support restructuring strategies, forbearance
agreements, and Chapter 11/creditor-side proceedings including plan confirmations and
asset sales.
● Due Diligence & Analysis: Conduct thorough due diligence for corporate acquisitions,
real estate transactions, and lending deals.
● Client Advisory: Advise clients on risk exposure, regulatory compliance, and strategic
options in distressed situations.
● Collaboration: Partner with cross-practice teams to deliver seamless legal solutions.
Qualifications
● Juris Doctor (J.D.) from an accredited U.S. law school.
● Active admission to the New Jersey Bar; New York Bar admission preferred.
● 4 years of experience in at least two of the following: bankruptcy, banking/finance, real
estate, or corporate law.
● Proven experience in loan documentation, creditor representation, and
restructuring agreements.
● Strong drafting, negotiation, and analytical research skills.
● Ability to manage multiple matters simultaneously under time-sensitive conditions.
Preferred Expertise
● Experience representing lenders and financial institutions in secured lending
transactions.
● Working knowledge of UCC Article 9, lender liability, and compliance considerations.
● Background in complex bankruptcy or restructuring cases.
● Familiarity with real estate finance, leasing, and acquisitions.
● Competence with legal tech tools (iManage, DocuSign, or similar).
