Corporate Paralegal

Key Responsibilities
* Manage corporate entities: formation, maintenance, qualification, dissolution
* Prepare and file annual reports and state filings
* Maintain organizational charts and ownership records
* Conduct UCC and lien searches
* Handle officer/director changes
* Run entity name searches and flag conflicts
* Draft governance documents (resolutions, consents, certificates, assignments)
* Track and collect signatures
* Maintain accurate entity records and systems
* Support internal teams (Development, Finance, Tax, Treasury) on entity matters
* Assist with training on governance and legal procedures
* Ensure consistency with corporate governance standards
