📋 Key Responsibilities:

• Represent high-growth startups and institutional investors in venture financings.

• Advise on mergers and acquisitions involving technology and emerging growth companies.

• Negotiate preferred equity, bridge, and SAFE financings using NVCA and YC forms.

• Handle complex corporate governance and business advisory matters.

• Conduct legal due diligence and supervise junior attorneys and staff.

✅ Qualifications:

• 5–8 years of experience in venture capital, emerging companies, and M&A transactions.

• Prior experience at an Am Law 100 firm strongly preferred.

• Deep familiarity with NVCA, seriesseed.com, and Y Combinator form documents.

• Strong writing, negotiation, and business advisory skills.

• Admitted to practice in the relevant jurisdiction (Illinois or eligible for admission).

• Excellent communication, time management, and leadership capabilities.
