This position is ideal for attorneys with substantial experience handling commercial real estate transactions, business acquisitions, corporate governance matters, financing transactions, and complex commercial agreements.
The successful candidate will work directly with experienced principals and sophisticated clients on a broad range of transactional matters. Attorneys will have the opportunity to manage significant responsibilities, develop client relationships, and advise businesses on critical strategic initiatives involving real estate investments, corporate transactions, and financing arrangements.

Job Responsibilities
• Draft, negotiate, and review commercial real estate purchase and sale agreements
• Handle acquisitions and dispositions of commercial and investment properties
• Structure and negotiate commercial and retail leasing transactions
• Represent borrowers and lenders in commercial lending transactions
• Assist with construction loans, acquisition financing, and related lending matters
• Advise clients regarding mergers, acquisitions, and business combinations
• Draft and negotiate joint venture agreements and related corporate documents
• Conduct due diligence reviews for real estate and corporate transactions
• Prepare organizational documents, operating agreements, and governance materials
• Coordinate transaction closings and post-closing obligations
• Collaborate with firm principals on sophisticated business and real estate matters
• Provide practical legal advice to clients ranging from privately held companies to multinational enterprises

Qualifications
• Minimum 5 years of corporate and transactional legal experience
• Strong background in commercial real estate transactions
• Experience with acquisitions, dispositions, and commercial leasing matters
• Experience handling commercial lending and finance transactions
• Familiarity with mergers and acquisitions and corporate transactions
• Active admission to practice law in Pennsylvania
• Strong analytical and problem-solving abilities
• Excellent writing, drafting, and communication skills
• Ability to manage multiple projects and deadlines simultaneously
• Self-starter with the ability to work independently and collaboratively
