Job Title: Senior Manager, Legal and Commercial

The Opportunity:
As an integral part of the North American Contract Mining Team, the Senior Manager – Legal and Commercial will be responsible for advising on a diverse range of matters arising from Contract Mining’s North American operations and supporting the Vice President North America to grow the Contract Mining business in that region.
About the Role
A key focus of the role will be refining the systems and practices to ensure Contract Mining’s practices comply with local laws and regulations, assisting to win new work in the region and support the development of influential relationships with key stakeholders, including clients and prospective clients and First Nations Partners.
Position Objectives:
- Legal, Risk and Compliance
- Managing legal and regulatory matters arising throughout Contract Mining’s current and prospective North American operations, including assisting to establish Contract Mining in new States/Provinces.
- Undertaking and coordinating legal reviews of mining contracts (in accordance with Contract Mining’s Contracting Principles and Work Winning Procedure) that pragmatically manage risk, in addition to negotiating key contracts with clients.
- Supporting the administration and management of client contracts through advising on contract interpretation, variations, extensions and disputes, in addition to developing commercial solutions to achieve compliance with contract requirements.
- Ensuring, as a minimum, material risks are managed in line with Perenti’s policies, procedures and risk appetite, and that Senior Management is able to make informed business decisions.
- Supporting and executing legal, risk and governance initiatives where necessary, in addition to developing more efficient and agile practices and systems that enable Contract Mining to effectively operate within the Perenti and local legal framework.
- Managing disputes and litigious matters, and overseeing the representation of Contract Mining in any administrative or judicial proceedings.
- Overseeing the work of external service providers and effectively managing external legal costs.
- Providing legal support to other functions, including Finance, Operations and Human Resources.
- Providing advice to other functions, including Human Resources, Finance and Operations, including managing or supporting investigations or audits.
- Coaching key internal stakeholders on regulatory requirements and facilitating legal awareness training as required.
- Preparing draft legal budgets, which will be reviewed and approved by the Vice President of Legal and Commercial.
- Commercial
- Assisting Commercial Managers and Project Managers to negotiate acceptable downstream agreements and pragmatically manage risk.
- Driving improvements to Contract Mining’s existing practices to enhance operational effectiveness, including by developing agreement suites for new States/Provinces and coaching key stakeholders on State/Province specific requirements.
- Develop and maintain a high-performance culture within the Commercial Team, including by coaching and mentoring team members and reports.
- Effectively collaborate with cross-functional teams to ensure strategic alignment and drive results.
- Assisting Contract Mining to comply with the requirements of key partnership agreements, including the preparation of progress reports to First Nations Partners.
Skills, Knowledge & Experience:
- An experienced legal practitioner with a minimum of 8 years’ experience and a strong work ethic.
- Strong commercial acumen and strategic mindset.
- Adaptable and proven ability to effectively manage competing priorities.
- Prior experience in contracting services (across mining, energy or construction industries) and working for a listed Australian company.
- Strong relationship-building and interpersonal skills, including an ability to deliver messages in a clear and influential manner.
- Unwavering commitment to the principles of the Perenti Group, and high standards of honesty and integrity in all aspects of work.
- Ability to lead by example and coach internal stakeholders.
- Actively seeks input from pertinent sources to make timely and well-informed recommendations.
Education:
- Qualified legal practitioner from a reputable University and ability to practice in the State of Colorado.
- Ability to comply with country entry conditions throughout the North American region.
