Associate General Counsel (AGC- Funds Attorney)

Position Summary

The Associate General Counsel will work closely with the GC and outside counsel to advise on various legal matters relating to the activities of the firm and the investment funds managed by the firm. In particular, the AGC will oversee all fund-related matters, which includes work on various types of investment vehicles The AGC may be based in New York.

The Associate General Counsel will:

• Work either alone or with outside counsel (as appropriate) on preparing, reviewing, and negotiating all fund-related agreements, including PPMs, IMAs, subscription documents, onshore/offshore feeder documents, LLC and partnership agreements, side letters, service provider agreements and related documentation
• Oversee all corporate, investment management, and fund-related legal matters, including the negotiation of investment management agreements, management company corporate governance, fund offering and marketing issues, and general legal matters
• Oversee all offshore fund governance matters, including drafting board materials and minutes
• Work in conjunction with Chief Compliance Officer on fund regulatory filings and provide other related legal and regulatory support
• Collaborate with and support the firm’s Investment, Operations, Tax, Accounting and Marketing Teams to ensure the firm’s legal needs are being met with responsive legal guidance
• Work with the in-house paralegals to manage the firm’s various legal entities
• Outstanding academic credentials
• 3-5 years in an investment management group at a major international law firm or handling private fund formation work at a large complex investment manager
• Strong familiarity with Investment Advisers Act of 1940, the Investment Company Act of 1940, and other regulations
