ASP Global is seeking a highly skilled Counsel specializing in contracts and commercial law to support our fast-growing, global medical products organization. This attorney will play a critical role in drafting, negotiating, and managing commercial agreements, advising internal business partners, and ensuring compliance in a dynamic, evolving regulatory environment. This role will also serve as the primary point of contact for all third-party and outsourced legal work, ensuring alignment, quality, and cost-effective utilization of external counsel. This is a hands-on, business-minded role for an attorney who thrives in a fast-paced environment, collaborates exceptionally well with cross-functional teams, and can translate legal risks into practical business solutions. Experience in the medical device or healthcare products sector is strongly preferred.
Essential Duties and Responsibilities:
Contract Drafting & Negotiation
- Draft, review, negotiate, and finalize a wide range of commercial agreements, including:
- Supplier and manufacturing agreements
- Distributor and customer agreements
- OEM/ODM development agreements
- Quality Agreements and regulatory-related contracts
- SaaS, technology, and professional services agreements
- Non-disclosure and confidentiality agreements
- Ensure all contracts comply with applicable laws, internal policies, regulatory requirements, and industry best practices
Commercial & Regulatory Advisory
- Provide legal advice related to UCC, commercial transactions, supply chain, procurement, sales, and commercial strategy.
- Counsel stakeholders on risk mitigation, contract interpretation, and dispute avoidance.
- Support compliance with healthcare-related regulatory frameworks (FDA, MDR, QSR, etc.) as they relate to commercial agreements.
Cross-Functional Partnership
- Serve as a trusted legal partner to Procurement, Sales, Quality, Regulatory, Supply Chain, Product Development, HR, and Finance.
- Understand business priorities to structure contracts that align with commercial goals while protecting the company’s interests.
Contract Lifecycle & Process Management
- Oversee contract administration processes, including version control, approval workflows, renewals, and obligations tracking.
- Improve and maintain contract templates, playbooks, fallback positions, and SOPs to streamline contract operations.
- Support implementation and optimization of contract management systems/software.
Risk Management & Dispute Resolution
- Identify and proactively mitigate legal and business risks associated with commercial activities.
- Assist in addressing contract disputes, claims, or escalations.
- Conduct legal research as needed on commercial and regulatory matters.
Additional Support
- Partner with the Executive Leadership Team (ELT) on strategic initiatives, corporate governance matters, and special projects as assigned.
- Support M&A integration activities (as applicable), including contract consolidation and commercial due diligence.
Required
- Juris Doctor (JD) from an accredited law school.
- Active admission to at least one U.S. state bar in good standing.
- 5–7 years of legal experience focused on commercial contracts and negotiation.
- Strong knowledge of contract law and commercial law, including UCC principles.
- Demonstrated ability to draft complex contracts with clarity, precision, and speed.
- Exceptional negotiation and communication skills.
- Ability to work independently, multitask, and prioritize in a fast-moving environment.
- High ethical standards, sound judgment, and acute attention to detail.
Preferred
- Medical devices, healthcare, pharmaceutical, or regulated manufacturing industry experience.
- In-house counsel experience within a growth-oriented company.
- Familiarity with FDA, QSR, MDR, and other regulatory frameworks impacting product supply and commercialization.
- Experience with contract lifecycle management (CLM) platforms.
