Ascension Global Staffing & Executive Search is seeking an experienced Corporate Paralegal for a permanent, full-time opportunity with a highly reputable law firm in Coral Gables, FL.

Position Overview
Key Responsibilities
- Draft and file organizational documents, including Articles of Incorporation, Articles of Dissolution, corporate resolutions, stock certificates, and merger documents;
- Organizing and coordinating the closing of complex transactions such as corporate mergers and acquisitions;
- Assists attorney in drafting various agreements;
- Incorporation and organization of corporations; drafting memos, correspondence, and ongoing corporate documents; communicating with attorneys and clients regarding factual and organizational issues;
- Conduct legal research and compile relevant findings for attorneys;
- Maintain and develop internal knowledge databases from produced documentation;
- Manage contract intake and coordinate documentation from outside vendors;
- Serve as a point of contact with outside counsel for litigation-related matters.
Qualifications
- Minimum 5 years of experience as a Corporate Paralegal;
- Strong written and oral communication skills, and advanced computer skills;
- Strong attention to detail and organizational skills;
- Proactively identifies issues and anticipates the support needs on each assigned matter;
- Sound judgment and strong problem-solving ability;
- Ability to manage multiple deadlines in a fast-paced environment;
- Proficiency in Microsoft Office Suite;
- Experience with LexisNexis is a plus.
