A premier global law firm is seeking a Fund Formation Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, venture capital funds, hedge funds, credit funds, real estate funds, institutional investors, and asset managers in sophisticated fund formation and investment management matters.

Ideal Background

• 2–7 years of private investment fund formation experience gained at a sophisticated national or international law firm

• Experience representing private equity funds, venture capital funds, hedge funds, private credit funds, real estate funds, infrastructure funds, and other alternative investment vehicles

• Experience handling the formation, structuring, organization, and operation of private investment funds

• Experience representing both fund sponsors and institutional investors in fund formation and investment transactions

• Experience with sponsor-level transactions, including matters involving general partners, management companies, carried interest structures, and fund governance

• Experience handling secondary transactions involving limited partner interests, continuation funds, GP-led transactions, and portfolio company interests

• Experience drafting and negotiating limited partnership agreements, limited liability company agreements, subscription agreements, side letters, management agreements, and related fund documentation

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently manage sophisticated fund formation matters while maintaining significant client interaction

• Excellent academic credentials

• J.D. from an ABA-accredited law school required

• New York bar admission required or ability to become admitted
