We are partnering with a top 10 Am Law firm to identify a talented associate to join its nationally recognized Emerging Companies & Venture Capital practice.
Location: This opportunity is in office in several major U.S. Hubs.
This role offers the opportunity to work within a highly connected venture ecosystem while leveraging the resources and reach of a global platform.
Attorneys benefit from a robust and consistent flow of venture capital, growth equity, and strategic transactions while developing direct relationships with founders, executives, investors, and emerging companies throughout the business lifecycle.
Attorneys have the opportunity to follow clients throughout their growth trajectory from early-stage formation through financing rounds, international expansion, strategic transactions, and exit events.
The practice places a strong emphasis on associate development, client exposure, and creating pathways for attorneys to cultivate their own networks within the innovation economy.
Key Responsibilities:
- Advise emerging growth companies on formation, governance, financing, and day-to-day corporate matters.
- Represent venture capital funds and strategic investors in seed, venture, growth equity, and other financing transactions.
- Draft, review, and negotiate transaction documents related to financings, corporate governance, and strategic transactions.
- Support clients through mergers, acquisitions, and other liquidity events.
- Work directly with founders, executives, investors, and in-house legal teams on sophisticated and high-profile matters.
- Collaborate with attorneys across multiple practice groups and offices to provide comprehensive legal counsel to clients on domestic and cross-border matters.
Qualifications:
- 4 years of experience handling venture capital financings, emerging company representations, and general corporate transactions.
- Experience representing startups, growth-stage companies, venture capital funds, and/or strategic investors.
- Strong drafting, negotiation, and client-management skills.
- Excellent academic credentials and large law firm experience preferred.
- Admission to the applicable state bar or eligibility to obtain admission.
