Alaska Native Tribal Health Consortium has a hiring preference for qualified Alaska Native and American Indian applicants pursuant to P.L. 93-638 Indian Self Determination Act.

Position Summary

The Transactions and Government Contracting Senior Counsel serves as a key member of the Legal Department and provides strategic legal advice and transaction support across the organization. This position is responsible for structuring, negotiating, drafting, and managing a broad range of complex commercial transactions, government contracts, grants, cooperative agreements, strategic partnerships, and related business arrangements. The position plays a critical role in advancing the organization's mission by supporting relationships with Alaska Native Tribes, Tribal Health Organizations, federal and state agencies, and key strategic partners. The position requires a sophisticated understanding of federal Indian law, Tribal Self-Governance, healthcare operations, and government-funded programs.

POSITION DUTIES

General Commercial Transactions

  • Leads the negotiation, drafting, and administration of complex commercial agreements
  • Provides legal support for strategic initiatives, acquisitions, divestitures, and business development opportunities
  • Conducts legal risk assessments and develops practical solutions to advance business objectives
  • Advises management on contract interpretation, performance issues, disputes, and remedies

Construction Transactions

  • Serves as legal counsel for ANTHC’s Department of Health and Environmental Engineering’s water and sanitation projects and infrastructure initiatives.
  • Negotiates and drafts:
    • Construction contracts for civil engineering and construction projects, including water and sanitation projects, roads, bridges, and related public works infrastructure projects in rural areas.
    • Funding Subawards
    • Construction management agreements
    • Real estate acquisition and development agreements
    • Ground leases and facility leases
Government Contracting

  • Advises on federal, state, Tribal, and local government contracting matters within the framework of the Indian Self-Determination and Education Assistance Act (ISDEAA)
  • Provides legal guidance regarding
    • Agency-specific regulations and contract provisions
    • Procurement integrity requirements
    • Contract administration and compliance
    • Subcontracting arrangements
    • Cooperative agreements and grants
    • Regulatory compliance with grant-funded projects
    • Audits, investigations, and contract disputes
  • Supports proposal development and review of solicitations, requests for proposals (RFPs), grants, and funding opportunities
  • Assists in responding to bid protests, claims, contract disputes, and government inquiries
Healthcare and Regulatory Compliance

  • Advises on regulatory matters affecting organizational operations within the framework of the ISDEAA
  • Partners with Compliance, Finance, Procurement, and other operational leaders to ensure legal and regulatory compliance
  • Supports development and implementation of organizational policies and procedures
  • Monitors changes in legislation, regulations, and case law that affect the organization's operations

Performs other duties as assigned.

KNOWLEDGE And SKILLS

  • Knowledge of applicable Federal, State, and Tribal law, regulations, rules, policies and processes. Including substantial knowledge of relevant specialized fields such as Federal Indian law and self-determination/self-governance, health law, employment law & construction law.
  • Knowledge of Alaska Tribal Health System, ANTHC, and Alaska Native cultures and politics.
  • Skill in verbal and written communication.
  • Skill in legal research and analysis.
  • Skill in identified areas of expertise, such as litigation, transactions, investigations, policy analysis, etc.
  • Skill in establishing and maintaining cooperative working relationships with individuals with wide array of cultural, political, educational, socio-economic, geographic and linguistic backgrounds.
  • Skill in addressing sensitive issues and situations.
  • Skill in advising leaders of complex organizational units.
  • Skill in assimilating, reconciling, and prioritizing diverse information, recommendations, policy considerations, and organizational objectives.

MINIMUM EDUCATION QUALIFICATION

Juris Doctorate (JD) degree from an accredited law school.

Minimum Experience Qualification

Non-supervisory – Nine (9) years of relevant legal experience, including substantial experience in transactions, government contracting, health law, construction law, and/or other relevant substantive areas.

MINIMUM CERTIFICATION QUALIFICATION

Active membership in the Alaska Bar in good standing, or active bar license in another jurisdiction required to secure Alaska Bar membership through reciprocity.

Preferred Experience Qualification

Experience or specialized study of Indian Law, Health Law, policy analysis.

Significant experience in private law practice, preferably representing tribal clients.

Additional Preferred Requirements

Understanding of Alaska Native or American Indian language or lifestyles.
