Addison Group is partnering with our client to identify a Corporate Paralegal to support an in-house legal team within a real estate-focused organization. This role will provide direct assistance to legal leadership and contribute to corporate governance, entity administration, transactional support, and compliance-related activities. The ideal candidate is highly organized, detail-driven, and comfortable managing multiple priorities in a dynamic environment.
Key Responsibilities:
Corporate & Entity Support
- Assist with the setup, ongoing administration, and wind-down of business entities, including LLCs and partnerships.
- Prepare and submit entity-related filings with state and local agencies across multiple jurisdictions.
- Draft and maintain internal governance documentation such as resolutions, consents, organizational records, and entity charts.
- Request and manage EINs, certificates of good standing, and certified records.
- Maintain entity databases, minute books, and transaction files.
- Coordinate document execution using electronic signature platforms.
Real Estate Transaction Assistance
- Provide legal support for property acquisitions and dispositions involving commercial and multifamily assets.
- Compile and organize due diligence documentation and manage virtual data rooms.
- Track closing deliverables, timelines, and execution materials under attorney oversight.
Contract & Records Management
- Prepare standard agreements such as nondisclosure agreements and basic document revisions.
- Ensure executed contracts and closing materials are properly stored and maintained in accordance with internal guidelines.
Compliance & Filings
- Support annual reporting requirements, registered agent matters, and other recurring compliance obligations.
- Monitor deadlines and maintain tracking tools to ensure timely filings.
- Respond to internal requests for corporate and entity-related documentation.
General Legal Support
- Provide ongoing administrative and operational assistance to the legal department.
- Collaborate with internal teams including finance, acquisitions, and asset management.
- Assist with ad hoc projects and process enhancements as needed.
Qualifications:
- Bachelor’s degree required; Paralegal Certificate preferred.
- At least 2 years of experience in a corporate paralegal role within a law firm or in-house legal department.
- Prior exposure to real estate transactions or real estate-focused entities strongly preferred.
- Proficiency with Microsoft Office applications and electronic signature tools.
- Familiarity with entity management platforms is a plus.
- Demonstrated ability to handle confidential information with discretion.
- Strong organizational, communication, and time-management skills.
- Ability to work independently while also collaborating effectively with cross-functional teams.
