The Opportunity
Our client is a privately held financial services group built around a live, FCA-authorized broker-
dealer headquartered in London. The firm executes today for institutional clients across fixed
income, equities, and FX through its top-tier investment bank prime brokerage relationship, with
institutional-grade trade lifecycle infrastructure already in production.
The firm is pursuing a strategic pivot to build a Brokerage-as-a-Service (BaaS) platform as an
overlay on this existing infrastructure. The thesis is straightforward: the business already has
the hardest-to-obtain components of a BaaS operation — an FCA license, tier-one execution
relationships, clearing access, and institutional-grade systems — and the opportunity is to wrap
these in an API layer and offer them as a service to fintech companies.
As part of this strategy, the group intends to acquire a US broker-dealer to establish direct
SEC/FINRA-registered operations and DTCC membership, extending the same overlay model
to the US market. The combined group would give fintech partners a single API backed by
directly-owned regulated infrastructure in both the US and Europe.
This is a rare opportunity to build a technology business on top of regulated infrastructure that
already works.
What You Will Do
1. Platform Vision & Commercial Strategy
- Define what the platform sells, to whom, at what price, and how it differentiates. The starting position is strong: an FCA license, tier-one prime brokerage, institutional-grade infrastructure, and a planned US broker-dealer acquisition.
- Design the commercial model: tiered pricing, revenue-share structures, and partner acquisition strategy.
- Identify and prioritize target partner segments: US neobanks, European wealthtech platforms, EMEA super-apps, robo-advisors, and embedded finance providers.
- Own the GTM strategy from initial pilot partner acquisition through to scaled commercial operations.
2. Technology Platform Build
- Oversee the build of an API layer that abstracts the complexity of the group’s multi- jurisdiction regulated infrastructure behind a single, elegant developer experience.
- Drive the build of developer SDKs, sandbox environments, and documentation portals.
- Make build-vs-license-vs-acquire decisions across the technology stack. The existing infrastructure is an asset to wrap, not replace.
- Leverage AI development tools to accelerate engineering output, enabling a smaller team to deliver at institutional scale.
3. US Acquisition & Integration
- Partner with the founders on commercial due diligence, valuation, and negotiation for the planned US broker-dealer acquisition.
- Own the post-acquisition integration plan: how the acquired entity’s infrastructure connects to the platform API layer.
- Identify revenue synergies from the combined US European dual capability.
4. Fundraise & Investor Relations
- Own the fundraise narrative. The pitch is compelling: regulated infrastructure already in production, FCA permissions already granted, US acquisition planned.
- Build relationships with target investors: growth equity firms with fintech and capital markets infrastructure theses.
- Define and track the KPIs that drive enterprise value: partner count, AUM on platform, transaction volumes, revenue per partner, and net revenue retention.
5. Team Build & Leadership
- You will be the first platform hire. Following your appointment, you will have meaningful input into who is hired around you as the team scales. The expectation is a lean, high-quality team of engineers, product managers, and commercial specialists built over time.
- Operate as a player-coach: in an early-stage environment, the CEO writes the pitch deck, reviews the API spec, takes the partner call, and debugs the onboarding flow. Delegators need not apply.
- Build and lead a team primarily based on the US East Coast, with a London satellite and close collaboration with the London-based founders.
Who We Are Looking For
The profile we are seeking is a builder: someone who has started or scaled a fintech or
technology-enabled financial services business and thrives in a zero-to-one operating
environment. Direct broker-dealer experience is not necessarily required — the group has deep brokerage expertise and will provide full context. What matters is the ability to build, sell, and lead in a fast-moving, founder-led environment.
Non-Negotiable
- Experience building and commercially scaling an API-first or platform product for external customers — ideally in fintech, embedded finance, or technology infrastructure.
- You have shipped products, acquired customers, and grown a business.
- Strategic and commercial leadership at CEO, GM, President, or SVP level in a fintech, technology, or financial services business.
- US-based with the ability to operate transatlantically and manage a business spanning US and European time zones.
- Player-coach operating capability. You must be willing and able to do the work at every level, not just direct it.
- Must be able to work in the United States without requiring visa sponsorship.
Strongly Preferred
- Experience in BaaS, embedded finance, payments infrastructure, or capital markets technology — or a strong personal interest in financial markets and the regulatory landscape.
- M&A or integration experience: you have been involved in acquiring, integrating, or being acquired by a complementary business.
- Fundraising experience: you have raised venture or growth equity, or presented a platform business model to institutional investors.
Valuable
- Familiarity with SEC/FINRA and/or FCA regulatory frameworks at a sufficient level to make informed product and commercial decisions.
- Understanding of API-first platform economics, developer experience design, and partner onboarding.
What This Role Is Not
You are not building a broker-dealer — one already exists and the group intends to acquire a
second. You are building a technology and commercial business on top of regulated
infrastructure that is already operational. You are not expected to be a brokerage operations
specialist; that expertise sits within the broader group and will support you directly.
Compensation & Equity
This is a co-founder-equivalent role. Compensation comprises a competitive base salary,
performance bonus, and meaningful equity participation in the platform entity — with vesting
linked to platform milestones and enterprise value creation. The equity is in the platform entity,
aligning your incentives directly with building a business that has independent sale value.
