The Director of Tax will lead all tax planning, compliance, structuring, and reporting activities across the firm’s private equity funds and management company. This role partners closely with investment teams, finance, legal, and external advisors to optimize tax efficiency, ensure compliance with evolving regulations, and support strategic growth initiatives. The Director of Tax is a key member of the finance leadership team and will manage both internal staff and external tax providers.
Responsibilities
Fund & Investment Tax Strategy
- Develop and oversee tax strategies for private equity funds, co-investment vehicles, blocker corporations, and related structures.
- Provide tax guidance on fund formation, new products, and cross-border investment structures.
- Advise investment professionals on tax implications of acquisitions, dispositions, restructurings, financings, and portfolio company planning.
- Review and evaluate tax implications of partnership agreements, LPA provisions, and investor negotiations.
Tax Compliance & Reporting
- Lead preparation and review of partnership tax returns, K-1 packages, PFIC/CFC calculations, and state/local filings.
- Oversee quarterly and annual tax estimates, allocations, and tax capital calculations.
- Ensure compliance with U.S. federal, state, international, and jurisdictional tax requirements relevant to private equity structures.
- Coordinate with fund administrators, auditors, and external tax advisors to ensure high-quality deliverables.
Management Company & GP/Carry Vehicle Tax
- Oversee tax matters for the management company, GP entity, and carried interest vehicles.
- Manage tax provisions, deferred tax analyses, and quarterly/annual tax accounting.
- Support compensation structuring, partner tax planning, and management company operational tax issues.
Leadership & Cross-Functional Collaboration
- Lead, mentor, and develop internal tax staff; manage and evaluate external tax service providers.
- Partner with CFO, Controller, and investment team to provide tax insights that enhance investment decisions and operational efficiency.
- Communicate complex tax concepts to senior leadership, investors, and stakeholders in a clear, business-oriented manner.
Governance, Risk & Process Optimization
- Monitor legislative and regulatory developments affecting private equity taxation.
- Establish and maintain internal controls, process documentation, and timelines to ensure accuracy and efficiency.
- Drive improvements in tax reporting workflows, technology usage, and data management.
Qualifications
Education & Credentials
- Bachelor’s degree in Accounting, Finance, or related field.
- CPA required; Master of Taxation or JD/LLM in Taxation strongly preferred.
Experience
- 10 years of tax experience, with at least 5 years focused on private equity, alternative investments, or asset management.
- Deep technical knowledge of Subchapter K (partnership tax), fund structures, and cross-border tax issues.
- Experience leading or reviewing complex partnership allocations, waterfall analysis, and investor tax reporting.
