Position Summary:

Assistant General Counsel will be responsible for ensuring professional counsel in the areas of litigation, regulatory matters, and general business contracts. Position requires work as a legal generalist, but also expertise within one or more legal practice areas. Position also involves resolution of contract disputes; risk analysis; preparing and revising standard forms of agreements; and training internal clients on legal issues. Assistant General Counsel will supervise senior paralegals and records manager in the Law Department, providing training, direction, and guidance on administrative and legal matters. In addition to legal work, position includes coordination with General Counsel on oversight of department administration matters, such as management of department and outside spend budgets.

Essential Job Functions:

• Provide legal and strategic advice to Company executives and other business stakeholders on a broad range of topics, including commercial contracts, marketing matters, and regulatory compliance.
• Independently review and negotiate commercial contracts (including master services agreements, software licenses, supply agreements, construction contracts, and payment processing agreements).
• Engage, oversee, and direct outside counsel as necessary on litigation and in specialty practice areas.
• Create and run training programs on relevant legal issues for various Company departments.
• Ensure compliance with various Company policies and procedures, including record retention and contract review and approval.
• Manage the Company’s legal entities, including oversight of entity compliance and maintenance of corporate records.
• Work with General Counsel to manage department and outside spend budgets.
• Supervise two Senior Paralegals and one Records Manager, providing training, direction, and guidance on administrative and legal matters.
• Excellent verbal and written communication skills, interpersonal skills, and attention to detail required.
• Must be able to work within a small team, but also must be self-motivated to work independently in a fast-paced environment.

Minimum Position Qualifications:

• Must have a law degree from an accredited law school.
• Must have a license to practice in Massachusetts.
• Must have 15 years of experience gained in law firm and in-house.
• A positive, “can-do” attitude.
• Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization.
• Strong negotiating skills with both legal and financial/commercial issues.
• Background in environmental law, FDA compliance, and/or privacy law a plus.
• Must be able to perform the essential functions of this position with or without reasonable accommodation.
