Position SummaryThis attorney will provide legal support and advice on a wide range of issues related to procurement contracting, including contract formation, solicitation, negotiation, performance, and termination, with a focus on federal, state and local government contracts and information technology procurement. Assists management in identifying and securing government grant and contracting opportunities consistent with ANSI's mission. Assists the General Counsel in the review and drafting of agreements between third-parties and ANSI and/or its two affiliates, the ANSI National Accreditation Board (ANAB) and Workcred, Inc. Assists in navigating government procurement processes, including reviewing solicitations and requests for proposals (RFPs), required contract clauses and conflicts of interest. Provides legal advice on compliance matters related to government contracts, including applicable regulations, such as Federal Acquisition Regulations (FAR) and Defense Federal Acquisitions Regulation Supplement (DFARS), data rights and other intellectual property issues, privacy law, affirmative action, anti-corruption, commercial terms and reporting requirements. Identifies and analyzes legal issues, drafts and reviews contract-related documents, presents clear recommendations to the General Counsel and management, as needed. Supports the ANSI Legal Department in protecting the ANSI enterprise's legal interests and in maintaining its operations and practices in compliance with applicable laws and regulations.Essential Functions
  • Responsible for contract review;
  • Contributes to the identification and securing of government grant and contracting opportunities consistent with ANSI's mission;
  • Assists in defining and developing contract templates, strategies, policies and procedures;
  • Helps ensure the integrity of ANSI/ANAB/Workcred's contracting and privacy law policies and procedures;
  • Responsible for maintaining contracts and contractual relationships between ANSI/ANAB/Workcred and third parties, including licensing agreements, information technology procurement agreements, accreditation services program agreements, employment agreements, non-disclosure agreements, memorandums of understanding, leases, rental agreements, financial services agreements, sponsorship agreements and social-events contracts;
  • Ensures ANSI/ANAB/Workcred's contracting practices are in compliance with all applicable laws;
  • Provides risk identification and assessment, particularly with respect to contracting practices and operations;
  • Contributes to great client outcomes through creative and efficient contracting practices; and
  • Provides assistance to ANSI's General Counsel on all aspects of the legal administration of ANSI and its affiliates, as needed.
Information Security Responsibilities
  • Attend/complete assigned information security training by the designated completion date.
  • Read and adhere to published ISMS policies and procedures.
  • Report timely any observed violations of ISMS policy - or known encroachments on information security - to your department leader and/or the Information Technology Department.
Education and Experience
  • Juris Doctor (J.D.) degree from an ABA-accredited law school;
  • Active bar license in New York or Washington, D.C.;
  • Minimum of three years of legal experience practicing law, with a focus on government contracts, preferably in a government agency setting;
  • Strong knowledge of U.S. federal acquisition regulations (FAR), agency-specific regulations, and other laws governing government contracts;
  • Familiarity with specialized areas of contracting, such as cybersecurity requirements, data rights and other intellectual property, privacy law, and commercial contract issues; and
Other Qualifications
  • Willing to move to the New York metropolitan or Washington, D.C. area;
  • Undergo and pass a background investigation.
  • Genuine passion for careful analysis and meticulous examination of contracts and other legal documents;
  • Demonstrated legal analysis, reasoning and writing skills, including the ability to quickly integrate and synthesize facts and law to make legally sound decisions in compressed timeframes;
  • Demonstrated expertise on complex legal matters;
  • Excellent communication, presentation and leadership skills;
  • The ability to work both independently and as a team member;
  • The ability to exercise sound judgment in challenging situations;
  • Willingness to consider diverse perspectives and ability to navigate changing circumstances;
  • Ability to effectively manage multiple work assignments and competing priorities concurrently;
  • Ability to develop and maintain close and collaborative working relationships inside and outside ANSI.
