Corporate Paralegal - Roseland, NJ
Primary Responsibilities & Scope
The successful candidate will serve as a vital resource to the legal team, playing a key role in the preparation, review, and filing of essential legal documentation for corporate transactions and regulatory compliance within the healthcare sector.
- Transactional Execution: Assist directly with complex healthcare mergers and acquisitions (M&A), joint ventures, and corporate restructurings, ensuring strict adherence to all applicable healthcare laws and regulations.
- Compliance Oversight: Conduct detailed and comprehensive due diligence, meticulously reviewing business licenses, Medicare/Medicaid enrollment documentation, and compliance with federal and state healthcare statutes, notably the Stark Law and Anti-Kickback Statute (AKS).
- Entity Governance: Manage the corporate lifecycle, including assisting with the formation of new healthcare entities, managing state licensing and regulatory filings (e.g., with the Department of Health and CMS), and maintaining all corporate records and governance documents.
- Contract Management: Prepare, review, and organize various healthcare-related contracts and manage critical data room logistics for ongoing deals.
- Legal Support: Conduct detailed legal research to proactively support the attorneys in the practice group.
Qualifications for Success
- Education: A Paralegal Certificate from an accredited program OR a Juris Doctor (J.D.) in Law from an ABA-accredited Law School.
- Experience: A minimum of 5 years of relevant experience as a corporate paralegal, with specific, demonstrated expertise in Corporate M&A and Healthcare transactions.
- Core Competencies: Proven experience with entity formations, contract drafting/review, and regulatory compliance within the healthcare industry.
- Technical: Proficiency in MS Office Suite, Adobe, and utilizing document management software.
- Skills: Exceptional organizational abilities, meticulous attention to detail, and excellent written and verbal communication skills. Must demonstrate the ability to perform effectively and accurately under pressure to meet critical deadlines.
Preferred Skills
- Familiarity with foundational healthcare laws, including HIPAA, the Stark Law, and the Anti-Kickback Statute (AKS).
- Prior hands-on experience with due diligence processes, data room administration, and the closing procedures of corporate deals.
- A proven capacity to exercise discretion and maintain the highest level of professionalism when managing highly confidential material.

Salary : $65,000 - $95,000
