Willcox Savage is seeking a Corporate Attorney (Associate or Junior Partner) to support a broad range of corporate matters. Ideally, either deep experience with commercial contracts or M&A transactions, or both. This role partners closely with our U.S. and international clients.
This position can be based in either our Norfolk or McLean, Virginia, offices.
Key Responsibilities
- Draft, review, and negotiate a wide variety of commercial agreements (e.g., customer and vendor agreements, NDAs, SaaS and licensing, services, procurement, and strategic partnerships).
- Provide practical, business-forward legal advice to cross-functional teams (e.g., Sales, Procurement, Product, Finance, Security, and Operations).
- Support mergers, acquisitions, and other corporate transactions, including due diligence, drafting and negotiating transaction documents, and coordinating internal and external workstreams.
- Assist with corporate governance matters, entity management, and related filings and recordkeeping.
- Advise on issues arising from U.S. and international business operations, partnering with local counsel as needed.
- Help design and improve contract templates, playbooks, and contracting processes to support scale and risk management.
Qualifications
- J.D. from an accredited law school.
- Two or more years of relevant experience in a law firm and/or in-house legal department, with meaningful commercial contracting experience.
- Experience supporting M&A and other corporate transactions (e.g., diligence, drafting, negotiating, and coordinating closing workstreams).
- Strong drafting and negotiation skills, with the ability to communicate complex legal concepts clearly to non-legal stakeholders.
- Experience with technology, licensing, privacy, data security, and/or product counseling.
- Sound judgment, strong ownership mindset, and ability to prioritize in a fast-paced, high-volume environment.
- Collaborative, pragmatic, and solutions-oriented approach; comfortable partnering cross-functionally and with outside counsel.

Compensation Range: The starting salary range for this position is $142,000 - $200,000 per year.
