- Structure, draft, and negotiate customer agreements, including SaaS, licensing, subscription, implementation, content licensing, and data processing agreements.
- Handle strategic partnership arrangements, including business development, co-development, co-marketing, and reseller or distribution agreements.
- Advise on contractual and regulatory risks related to new offerings, sales activities, and marketing initiatives.
- Counsel on HIT, IP, SaaS, software licensing, HIPAA/HITECH, GDPR, and healthcare regulatory requirements.
- Manage outside counsel for transactional, litigation, and compliance matters and collaborate with internal legal partners.
- Maintain strong understanding of organizational structure, markets, offerings, and regulatory landscape to provide timely legal guidance.
- Develop effective working relationships with senior leadership and cross-functional teams.
- Bachelor’s degree and J.D. required; must be admitted to practice law in the state of residence.
- Minimum of 7 years of progressively responsible corporate/commercial legal experience, ideally including time at a top-tier law firm and within an established in-house legal department.
- Experience should include hands-on work across a range of domestic and international healthcare transactional and regulatory matters, including pharmaceutical-related issues.
- Strong background in innovative HIT and digital health concepts, software licensing, SaaS subscription arrangements, and a general understanding of RAG, LLMs, and AI technologies.
- Strong understanding of U.S. healthcare laws and regulations.
