Legal Counsel - Mergers & Acquisitions
This role in summary
Whirlpool is seeking highly qualified candidates for a Legal Counsel, Mergers & Acquisitions (M&A) position on the Corporate Center Strategy Legal team. The successful candidate will have extensive, specialized experience leading and managing M&A transactions in the public and private space. The right candidate will advise and effectively collaborate with other corporate functions, such as Whirlpool's Corporate Strategy and Business Development, Finance, Treasury, Risk Management, Investor Relations, Corporate Communications, Benefits groups and other subject matter experts in connection with corporate transactions. The Legal Counsel will also have extensive experience communicating with business leaders and internal clients on transactions and other corporate and business matters, as well as with internal law department colleagues, and outside counsel as appropriate.
Your responsibilities will include
- Specific responsibilities of the Legal Counsel, Mergers & Acquisitions will include:
- Partnering with and providing legal support to the Corporate Strategy and Business Development function in connection with assessment of M&A, Joint Venture (JV) and equity investment opportunities and other competitive intelligence initiatives.
- Advise internal business partners on the full lifecycle of strategic M&A transactions, from Non-Disclosure Agreements (NDA), initial structuring and letter of intent phase, through due diligence, deal structuring, contract negotiations, regulatory clearance, and integration and transition service agreements.
- Advising and collaborating with other legal team members and corporate functions in connection with corporate transactions and other matters.
- Assisting in the development of business and deal strategy and advising management (business and legal) regarding risks, requirements and status/progress in connection with transactions and the pipeline of M&A transactions.
- Developing and administering training to the Corporate Strategy and Business Development function, as well as extended deal/diligence/integration teams in the areas of confidentiality, antitrust, international regulatory clearance, corporate governance, contracts, and other relevant areas.
- Assist in the development of processes and tools to drive quality and efficiency for key workstreams.
- Hire, direct and manage outside counsel.
Minimum Requirements
- JD from an accredited law school.
- Membership in at least one state bar and eligibility for admission to the Michigan Bar within one (1) year of employment.
- 5 years of M&A transactions experience including experience in public and private transactions
- National or International Law firm experience
Preferred skills and experiences
- In-house law firm experience at a large multinational corporation
- Proven technical and project management skills involving global inorganic transactions.
- Demonstrated leadership skills; sound character; excellent judgment.
- Ability to drive followership among legal peers and other subject matter experts
- Ability to prioritize and manage a large volume of concurrent projects.
- Outstanding interpersonal skills and the ability to communicate (both orally and in writing)
- and interact effectively at all levels of an organization; ability to identify critical issues and convey them in a manner that is useful to the client.
- Demonstrated ability to achieve results.
